INTRODUCTION

• These Terms of Service (the "Terms") govern the conditions under which you ("User", "You", "Your") may access, register, and use the Brixline mobile application and/or the website www.brixline.com (collectively, the "Platform").
• The Platform is operated and managed by Brixline Real Estate Services Private Limited, having its registered office at 4th Floor, Dominos Building, No. 126, opposite Jyoti Nivas College Road, KHB Colony, 5th Block, Koramangala, Bengaluru, Karnataka – 560095 (hereinafter referred to as "We", "Us", or "Our").
• For the purposes of these Terms and Conditions, the term "Brixline" shall include the Company, its subsidiaries, group companies, and affiliates, along with their respective representatives, administrators, employees, directors, officers, agents, successors, and assigns.
• By accessing or using the Platform, you acknowledge that You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
• This document is an electronic record under Section 4 of the Information Technology Act, 2000, and the rules made thereunder, read with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended. This electronic record is generated by a computer system and does not require a physical or digital signature.

INTERPRETATION AND DEFINITIONS

The following definitions and rules of interpretation apply in this agreement.

• "You" / "User" means any person capable of contracting under the Indian Contract Act, 1872, who accesses or uses the Website or the services offered on or through it.
• "Affiliate" means company that is partly owned by another business, or connected through a common parent company, shared management, or business partnership.
• "Company" (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Brixline.
• "Account" means a unique account created for You to access our Service or parts of our Service.
• "We", "Us", "Our" refers to the Website and/or the Company, as the context requires.
• "You" / "User" means any person capable of contracting under the Indian Contract Act, 1872, who accesses or uses the Website or the services offered on or through it.
• "Party" / "Parties" refers to the User and the Company, individually and collectively, as the context requires.
• "Website" refers to Brixline website, accessible from www.brixline.com
• "Content" refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.
• "Service" means the website, mobile application, software, features, content, data feeds, and any other products or services provided by the Company, whether accessed online or through other platforms.
• "Terms and Conditions" (also referred as "Terms") are the rules that form the complete agreement between you and the Company for using the Service.

ACCEPTANCE OF TERMS

• By accessing, browsing, or using the Website, mobile applications, software, data feeds, and any other services made available by the Company (collectively, the "Service"), You acknowledge and agree to be bound by these Terms and Conditions ("Terms") and the Privacy Policy ("Policy") of the Company, as may be amended from time to time. If You do not agree with any provision of these Terms or the Policy, you are advised to immediately discontinue use of the Service.
• The Terms and the Policy are co-terminus; termination/expiry of one result in termination/expiry of the other, unless expressly stated otherwise.
• You acknowledge and agree that these Terms are a binding agreement between You and the Company. Any rules, policies, or conditions that apply to specific services are also part of these Terms.
• We may amend these Terms at any time without prior notice. Continued use of the Service after such changes constitutes Your consent to the amended Terms.
• These Terms apply to all Users (guest or registered) who access www.brixline.com and/or the App.

DESCRIPTION OF SERVICES

The Platform provides the following services to Users:

• Registering and creating an account.
• Listing properties for rent, lease, or sale.
• Posting property requirements.
• Preparing lease and rental agreements.
• Facilitating rent and security deposit collection.
• Accessing financial assistance (Credit Facility) through Lending Partners.
• Completing KYC verification and related documentation.
• Receiving notifications, reminders, and updates on transactions.
• Maintaining records of financial transactions securely.
• Availing brokerage services for sale or purchase of property (1.2% brokerage).
• Paying tenant brokerage equivalent to one month's rent.
• Seeking home loan assistance through associated banks or financial institutions.

ELIGIBILITY

• The User represents and warrants that they are competent to contract as per Section 11 of the Indian Contract Act, 1872, are of legal age, who is of the age of majority according to the law to which he is subject, and who is of sound mind, and is not disqualified from contracting by any law to which he is subject.
• If you do not meet these requirements, you are not authorized to access or use the Website or Service and must immediately discontinue use.

USER ACCOUNT, PASSWORD, AND SECURITY

• Transactions on the Brixline Platform are secure and protected. Any information you provide while making transactions is encrypted to prevent unintentional disclosure to third parties.
• Credit/debit card information is not received, stored, or retained by Brixline in any way.
• You may browse certain sections of the Platform without registering an account.
• To access and use the full range of services offered by the Platform, you must register by providing accurate, complete, and up-to-date information.
• You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree not to share your credentials with any third party.
• You must immediately notify Brixline of any unauthorized use of your account or any other security breach.
• Deleting or uninstalling the mobile application does not automatically terminate your account. To close your account, you must submit a request for de-registration to Brixline.

USE OF THE PLATFORM

• The Platform allows You to post, submit, or display content, including text, images, videos, and other materials ("Content"). You are solely responsible for the legality, accuracy, reliability, and appropriateness of any Content You post.
• By posting Content on the Platform, you give Brixline permission to use, copy, modify, display, and share your Content worldwide through the Platform. You still own all rights to your Content and are responsible for protecting them.
• You agree not to post, submit, or transmit content that:
  • a. Is Unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • b. Impersonates any person or entity or misrepresents Your affiliation
  • c. Spreads false information, malware, or viruses
  • d. Violates intellectual property rights or other proprietary rights
  • e. Uses communication features of the Platform to send spam or junk messages
• Brixline reserves the right, at its sole discretion to remove, edit, or block any content that violates these terms; suspend or terminate accounts that post prohibited content; and disclose any information as required by law, regulation, or legal process.

FEES AND PAYMENT

• Tenants are required to pay brokerage equivalent to one month's rent.
• Buyers and sellers are required to pay brokerage equal to 1.2% of the property purchase price.
• All payments are processed through authorized Payment Aggregators (PAs) and settled directly with the relevant parties.
• You agree to provide accurate payment information and ensure sufficient funds for all transactions. Brixline is not responsible for payment delays or failures caused by third-party payment processors.

FORCE MAJEURE

• Brixline is not liable for service failures caused by events beyond its control, including natural disasters, pandemics, government decisions, or technical issues.

INTELLECTUAL PROPERTY

• All rights in and to the Website/App, UI, software, compilations, databases, text, graphics, interfaces, logos, trademarks and other distinctive brand features are owned by or licensed to the Brixline.
• No rights are granted to You except as expressly stated.
• Third-party property listings and related IP remain with their respective owners.
• Any unauthorized use/infringement may result in legal action.
• If you believe your intellectual property is infringed, notify Brixline with details.
• False claims may lead to account termination.

DISCLAIMERS

• The Platform and all Services are provided on an "as is" and "as available" implied.
• Brixline expressly disclaims all warranties, including but not limited to warranties of accuracy, reliability, availability, merchantability, or fitness for a particular purpose.
• Brixline does not promise that the Platform or Services will always be accurate, reliable, available, or suitable for your needs.
• Brixline is not responsible for the accuracy or legality of content, property listings, or other materials posted by other users or third parties.
• If you rely on the Platform, its data, or Services, you do so at your own risk. Brixline is not responsible for any losses or problems that may happen because of it.
• By using the Service, you accept all risks associated with accessing and using it.

INDEMNITY & LIMITATION

• Each User agrees to indemnify, defend, and hold harmless Brixline and its affiliates, including but not limited to their officers, directors, consultants, agents, and employees (collectively, "Indemnities"), from and against any and all losses, liabilities, claims, damages, demands, costs, and expenses, including legal fees and interest, arising from or related to any breach, misrepresentation, or non-performance of any representation, warranty, covenant, or obligation under these Terms, misuse of the Website or Services, violation of these Terms, or infringement of the rights of any third party, including intellectual property rights.
• Each User agrees to indemnify and hold harmless Brixline and its affiliates, including their officers, directors, agents, and employees, from any losses, claims, or expenses arising from breach of these Terms, misuse of the Website or Services, or violation of third-party rights. Brixline shall not be liable for any indirect, incidental, or consequential damages, including loss of data or profits, arising from use of the Website, Services, or services provided by any Registered Service Provider, to the fullest extent permitted by law.

SUSPENSION AND TERMINATION

• Brixline has the right to suspend or terminate a user's access to the website, service, or any part thereof, at any time, without prior notice.
• Users remain bound by these terms even after termination.
• Users may choose to de-register their accounts, and Brixline may retain transaction records as required by law.

THIRD PARTY WEBSITE

• Our Website / Mobile App may contain links to other websites. When you click on one of these links, you are navigating to another website. We do not accept liability for misuse of any information by any website controller to which we may link.
• We also do not have any responsibility of liability for the content on websites that use the www.brixline.com search functionality. We encourage you to read the privacy statements of these websites, which may differ from ours.

SALE/MERGER

• If Brixline is sold, merges with another company, or goes through bankruptcy or similar events, your information, including personal data, may be transferred as part of the business assets to the new owner or entity.

USER OBLIGATION

You agree to lawful, responsible use and, without limitation, that You will not:

• Copy, modify, reverse engineer, distribute or create derivative works from Website/App content except as expressly permitted in writing
• access content/services except via the interfaces provided; use bots/scrapers or attempt to circumvent security
• post/upload unlawful, offensive, infringing, or harmful content
• infringe IP or privacy rights; upload malware/viruses; probe or compromise security; harvest other users' data
• misrepresent identity or affiliation; conduct fraudulent/illegal transactions, money laundering or prohibited uses
• violate any applicable law or these Terms/Policy
• maintain more than one account without written permission; and share access credentials

You are responsible for all activity under Your account and must notify legal@brixline.com of any suspected unauthorized use/loss/theft of device. We may remove content and/or restrict access at our discretion for any suspected violation. You authorize us to disclose user information to law enforcement/government authorities where required or appropriate.

GOVERNING LAW AND JURISDICTION

• These Terms/Policy are governed by Indian law. Subject to arbitration, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction.

DISPUTE RESOLUTION & JURISDICTION

• MEDIATION: Disputes shall first be attempted to be resolved amicably within 30 days of written notice.
• ARBITRATION: Failing amicable resolution, disputes shall be referred to sole arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, Karnataka, India. Proceedings shall be in English. Each Party shall bear its own costs; the arbitrator may award costs at discretion.

NOTICES

• All legal notices/grievances should be sent in writing to the Company's corporate office address (above) by RPAD/SPAD, and by email to legal@brixline.com.

MISCELLANEOUS

• Entire Agreement: These Terms, read with the Policy form the complete and final contract between the User and the Company with respect to the subject matter hereof and supersedes all other communications, representations and agreements (whether oral, written or otherwise) relating thereto
• Waiver: The failure of either Party at any time to require performance of any provision of these Terms shall in no manner affect such Party's right at a later time to enforce the same. No waiver by either Party of any breach of these Terms, whether by conduct or otherwise, in any one or more instances, shall be deemed to be or construed as a further or continuing waiver of any such breach, or a waiver of any other breach of these Terms.
• Severability: If any provision/clause of these Terms is held to be invalid, illegal or unenforceable by any court or authority of competent jurisdiction, the validity, legality and enforceability of the remaining provisions/clauses of these Terms shall in no way be affected or impaired thereby, and each such provision/clause of these Terms shall be valid and enforceable to the fullest extent permitted by law. In such case, these Terms shall be reformed to the minimum extent necessary to correct any invalidity, illegality or unenforceability, while preserving to the maximum extent the original rights, intentions and commercial expectations of the Parties hereto, as expressed herein.

REPORT ABUSE

VIOLATION & FRAUD MANAGEMENT

• We may suspend or delete Your account and/or limit access if we believe you violated these Terms/Policy or applicable law, or if suspicious activity is detected.
• Remedial actions may include reversal/withholding of benefits, recovery of costs/fees/penalties incurred due to fraudulent or suspicious transactions, and other lawful measures.

COMMUNICATION

• You consent to receive communications via calls, SMS, email, and WhatsApp. You may opt-out by writing to hello@brixline.com.

GRIEVANCE REDRESSAL

• For grievances, contact the designated officer, Vaishnav Raj, at hello@brixline.com. You must provide complete and accurate information for resolution.
